Worker co-operatives

Worker co-operatives will have workers or employees at their heart and they will together deliver products or services through their co-op and their co-op will provide jobs for them. These co-operatives may be distributing or non-distributing.
Type: Distributing
Primary Activity
The primary activities of the co-operative are:
- Providing care and support services to persons who are frail, aged or disabled,
- Providing training and accreditation services for members and employees engaged in the delivery of care services, and
- Providing management, leadership and advocacy services for employees working in care services.
Active membership
In order for an employee member to establish and maintain active membership of the co-operative the member must:
- Work for the co-operative for a minimum of 10 hours each calendar month, and
- Attend a minimum of 2 care worker team meetings or 2 business development meetings each calendar year.
Type: Employee-owned co-operative that intends to meet the board composition requirements exemption for co-operatives under aged care regulations (see page 28 in The Care Co-op Toolkit for more information on the exemption).
Primary Activity
The primary activities of the co-operative are:
- to deliver best practice/high quality funded Care Services in accordance with the Aged Care Quality Standards and/or NDIS Practice Standards (as applicable); and
- to provide a secure and supportive workplace, improved training opportunities and skills development for workers engaged in the delivery of the Co-operative’s services.
Active membership
- In order to maintain active membership, each member must:
- work for the Co-operative for a minimum of [xx] hours each financial year;
- pay the regular subscription fee in accordance with rule xx (which money will be used towards the primary activities of the Co-operative); and
- attend at least two (2) meetings of the Co-operative per financial year (whether it be a general meeting, special general meeting, or informal event).
- All members of the Co-operative must be active members.
- Subject to sections [123 and 124 of the Co-operatives Act / 159 and 160 of the Co-operatives National Law], a member who fails to be or stops being an active member must, under the Law, have their membership cancelled.
Qualifications for membership
A person qualifies to be admitted to membership if they are:
- a natural person; and
- have satisfactorily completed their probational period of employment with the Co-operative of up to three (3) months as may be specified in their respective employment contracts; and
- remain employed by the Co-operative.
The following word has a special meaning for the purposes of the primary activities and active membership requirements:
“Care Services means aged care, disability care and/or health services”.
6.10 Winding up
- The winding up of the co-operative must be in accordance with the Law.
- If, on the winding up or dissolution after the satisfaction of all the co-operative’s debts and liabilities there remains any surplus property this must be distributed,
- first, by repayment of the nominal value of shares to members, and then,
- to one or more organisations which:
- prohibit the distribution of any surplus assets to its members to at least the same extent as the co-operative; and
- with similar purposes to, or inclusive of, the co-operative’s purposes set out in rule 1.3.
- The decision as to which the organisations are to be given any surplus assets, must be made by a special resolution of members at or before the time of winding up. If the members do not make this decision, the co-operative may apply to the Supreme Court to make this decision.
- If on the winding up or dissolution there is a deficiency, members are liable to contribute towards the deficiency to the extent of any amount unpaid on the shares held by the member and any charges payable by the member to the co-operative as required by these rules.

Type: Non-Distributing
Focus: Multi-stakeholder co-operative
Primary Activity
The primary activities of the co-operative are:
- to deliver best practice/high quality Care Services in accordance with the Aged Care Quality Standards and/or NDIS Practice Standards (as applicable); and
- to provide a secure and supportive workplace, improved training opportunities and skills development for workers engaged in the delivery of the Co-operative’s services.
Active membership
- In order to maintain active membership, each member must:
- All members must:
- pay the regular subscription fee in accordance with rule xx (which money will be used towards the primary activities of the Co-operative); and
- attend at least one (1) meeting of the Co-operative per financial year (whether it be a general meeting, special general meeting, or informal event); and
- on addition to rule x(a)(i) above, A class members must:
- work for the Co-operative for a minimum of [xx] hours each financial year; and
- attend two (2) or more activities organised or supported by the Co-operative each financial year.
- All members must:
- All members of the Co-operative must be active members.
- Subject to sections [123 and 124 of the Co-operatives Act / 159 and 160 of the Co-operatives National Law], a member who fails to be or stops being an active member must, under the Law, have their membership cancelled.
Qualifications for membership

- a natural person; and
- have satisfactorily completed their probational period of employment with the Co-operative of up to three (3) months as may be specified in their respective employment contracts; and

A person qualifies to be admitted to membership as a “B class member” if they:
- support the Co-operative’s values and primary activities; and
- are nominated or endorsed by at least two (2) existing members of the Co-operative.

Type: Distributing – NSW
Primary Activity
The primary activity of the co-operative are to:
- provide advisory and management services in respect of land use including services to enhance carbon sequestration and build the biodiversity values of land in Australia and elsewhere,
- provide measurement, monitoring, verification and reporting services related to carbon sequestration and biodiversity values of land,
- provide an information service and knowledge building programs about carbon sequestration, carbon trading, biodiversity and land management systems,
- develop member capacity to negotiate and trade accumulated carbon on behalf of members, on the domestic and international carbon markets
Active membership
In order for a member to establish and maintain active membership of the co-operative the member must:
- subscribe to the co-operative news and information service, and
- acquire a minimum of one fee-based service of the co-operative in every twelve month period at a price of $100.
Fee-based services include, but are not limited to, any services developed by the co-operative for landholders or training services for members.
Type: Non-Distributing – Vic
Primary Activity
The primary activities of the co-operative are
- the management and provision of co-working spaces, event locations and event infrastructure to members under appropriate agreements, and
- the hosting of educational, social and cultural networking and community building events.
Active membership
In order for a member to establish and maintain active membership of the co-operative the member must:
- pay the annual subscription fee in rule …, and
- have used or contributed to the services of the co-operative at least once in the previous calendar year.
Type: Distributing – Vic
Primary Activity
The primary activity of the co-operative is to provide a dignified livelihood to members through cleaning work using ecologically-friendly and ethical practices.
Active membership
In order for a member to establish and maintain active membership of the co-operative the member must:
- undertake regular cleaning work on behalf of the co-operative (whether under an employment or other contract with the co-operative); and/or
- provide administrative and/or business development and/or other miscellaneous services to the co-operative, or externally, as approved by the Secretary of the co-operative in accordance with these rules.
